Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 1, 2023, Anne G. Waleski notified the Board of Directors (the “Board”) of Tredegar Corporation (“Tredegar”) of her decision to resign from the Board, effective immediately. Ms. Waleski has served on the Board since 2018. Ms. Waleski’s decision to resign from the Board was not the result of any disagreement relating to Tredegar’s operations, policies or practices.
Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On August 4, 2023, the Board adopted an amendment to Tredegar’s Amended and Restated Bylaws (the “Bylaws”), effective immediately. The amendment revises Article II, Section 2 of the Bylaws to permit the number of directors to be increased or decreased to not less than six nor more than nine, by resolution of the Board. The full text of the Bylaws, as amended, is attached as Exhibit 3.1 hereto and incorporated herein by reference.
