Item 9. Regulation FD Disclosure.
On May 10, 2004, Encore Wire Corporation, a Delaware corporation (the “Company”), issued a press release announcing a proposed charter amendment to increase its authorized shares from 20,000,000 to 40,000,000 to permit a 3-for-2 stock split to be paid as a 50% stock dividend on its common stock. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
