Item 2.02 Results of Operations and Financial Condition

On October 28, 2020, Cognex Corporation (the “Company”) issued a news release to report its financial results for the quarter ended September 27, 2020. The release is furnished as Exhibit 99.1 hereto. The information in Item 2.02 of this Current Report on Form 8-K, including the Exhibit attached hereto, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, nor shall it be deemed to be incorporated by reference in any filing under the Securities Act of 1933 or the Securities Exchange Act of 1934, regardless of any general incorporation language in such filing.

Item 8.01 Other Events

On October 28, 2020, the Company announced that its Board of Directors declared a quarterly cash dividend of $0.06 per share. The dividend is payable on November 27, 2020 to all shareholders of record at the close of business on November 13, 2020.
