Explanation of Responses:

1. The options vest in five approximately equal annual installments on the first, second, third, fourth, and fifth anniversaries of the Transaction Date.

2. Each restricted stock unit represents a contingent right to receive one share of Cognex Corporation common stock.

3. The restricted stock units vest approximately 20%, 30%, and 50% on the first, second, and third anniversaries of the Transaction Date, respectively.

4. The options vest in three approximately equal annual installments on the third, fourth and fifth anniversaries of the Transaction Date.

5. The restricted stock units vest in approximately three equal annual installments on the first, second, and third anniversaries of the Transaction Date.
