ITEM 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On July 1, 2013, Fortune Industries, Inc. (the “Company”) filed with the Securities Exchange Commission a Form 25 Notification of Removal from Listing and/or Registration under Section 12(b) of the Securities Exchange Act of 1934 to effect the voluntary delisting of its common stock from the NYSE MKT. The NYSE MKT was previously notified of the Company’s intent to delist, and a press release stating the Company’s intent to delist was issued and posted on the Company’s website at www.ffi.net. Trading of the Company’s common stock ceased prior to market open on July 1, 2013.
