Item 2.02 Results of Operations and Financial Condition.
On August 3, 2006, Cost-U-Less, Inc. issued a press release announcing its financial results for the second fiscal quarter ended July 2, 2006. In its press release, the Company reported net income of $475,000, or $0.11 per fully diluted share outstanding, compared to net income of $512,000, or $0.12 per fully diluted share outstanding, for the second quarter of fiscal 2005. A copy of this press release is furnished and attached hereto as Exhibit 99.1 and is incorporated herein by reference.
