Explanatory Note: The purpose of this Amendment No. 1 is to clarify that Denny's Corporation’s duty to file reports under Section 13(a) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), remains with respect to its common shares, $0.01 par value per share, and that its common shares remain registered pursuant to Section 12(b) of the Exchange Act.
