(b) This Tender Offer Statement on Schedule TO relates to an offer by the Company to exchange all non-qualified options, other than non-qualified options held by the Company’s executive officers and non-qualified options held by employees who also hold incentive stock options (the “Options”), outstanding under the 1994 Stock Incentive Plan (the “1994 SIP”) to purchase shares of the Company’s common stock, par value $0.01 per share (“Common Stock”) for new non-qualified options (the “New Options”) to purchase shares of Common Stock to be granted under the 1994 SIP, upon the terms and subject to the conditions described in the Offer to Exchange and Letter of Transmittal (the “Letter of Transmittal” and, together with the Offer to Exchange, as they may be amended from time to time, the “Offer”).
