On February 3, 2006, Sky Financial Group, Inc. announced the execution of a definitive agreement to acquire Union Federal Bank of Indianapolis and its parent company, Waterfield Mortgage Company, Incorporated, Ft. Wayne, Indiana. A copy of the press release dated February 3, 2006 announcing the acquisition is attached as Exhibit 99.1.
