ITEM 8.01. OTHER EVENTS.
On November 15, 2006, the registrant announced the completion of its acquisition of Wells River Bancorp, Inc., Wellsville, Ohio, and its wholly owned subsidiary Perpetual Savings Bank (“Perpetual”). The acquisition was accomplished through the merger of Wells River Bancorp, Inc. with and into the registrant.
Perpetual is scheduled to merge with Sky Bank, a wholly-owned subsidiary of registrant, at the commencement of business on December 2, 2006, and will convert to Sky Bank’s products and operating systems over the weekend of December 2-3, 2006. Following the bank merger, Perpetual’s branches and ATMs will be part of the Ohio Valley Region of Sky Bank.
