Item 8.01                       

Other Events.

On July 20, 2018, PTC Inc. entered into an accelerated repurchase agreement to repurchase approximately $1 Billion of its common stock, with an initial delivery of 8,244,873 of the shares to be repurchased on July 23, 2018. The repurchase is scheduled to be completed no earlier than March 4, 2019 and no later than May 31, 2019.
