Item 5.02 (b) Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
Mr. C. Wayne Nance and Mr. Robert F. Bailey retired from the Cabot Oil & Gas Corporation Board of Directors on May 4, 2006 in accordance with the board of directors mandatory retirement guidelines and as contemplated by the Company’s proxy statement for the 2006 Annual Meeting of Stockholders. Mr. Nance served on the Corporate Governance and Nominations Committee and the Executive Committee. Mr. Bailey served on the Audit Committee and was Chairman of the Safety & Environmental Affairs Committee.
