Item 1.01 Entry into a Material Definitive Agreement.
On August 30, 2022, Haynes International, Inc. (the “Company”) entered into Amendment No. 1 to Credit Agreement (the “Amendment”) which amended that certain Credit Agreement, dated October 19, 2020 (the “Credit Agreement”), by and among the Company, the Lenders (as defined in the Amendment), and JPMorgan Chase Bank, N.A., as administrative agent for the Lenders.
The Amendment (a) extends the maturity date from October 19, 2023 to April 19, 2024 and (b) switches from a LIBOR-based interest rate calculation to a SOFR-based interest rate calculation for certain borrowings under the Credit Agreement.
