Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.
On February 18, 2010, the Board of Directors (the “Board”) of Avanir Pharmaceuticals, Inc. (the “Company”) approved an increase in the number of shares of common stock reserved for issuance under the Company’s 2003 Equity Incentive Plan. The plan contains an “evergreen” feature whereby the Board may, on an annual basis, increase the number of shares reserved for issuance under the plan, up to 5% of the total shares outstanding as of December 31 of the prior year. Based on a total of 83,178,113 shares issued and outstanding as of December 31, 2009, the Board approved an increase of 4,158,905 shares. The increase became effective as of February 18, 2010.

On February 18, 2010, the Company held its annual meeting of stockholders. The results of the stockholder vote from the annual meeting are set forth below:
