This letter responds to the comment of the Staff (the “Staff”) of the Division of Corporation Finance of the Commission set forth in the letter dated September 22, 2010 (the “Comment Letter”) relating to the Form S-3, and Amendment No. 1 has been revised to reflect the Company’s response to the Comment Letter. For reference purposes, the text of the Staff’s comment, as set forth in the Comment Letter, has been reproduced herein in italicized text, followed by the Company’s response.
Description of Subordinated and Senior Debt Securities

Please revise your disclosure to include a description of the known material terms of the subordinated and senior debt securities being offered pursuant to the registration statement. You may note in your disclosure that the terms are subject to change based on your negotiation with potential trustees. |
Response: In response to the Staff’s comment, the Company has revised its disclosure on pages 4-18 to provide a description of the known terms of the subordinated and senior debt securities.
