Item 12. Results of Operations and Financial Condition
On July 29, 2004, First Community Bancshares, Inc. announced by press release the upward revision of its earnings for the quarter and six months ended June 30, 2004 related to incorrect pension cost estimates provided by the Company’s independent third party advisor. A copy of the press release is attached hereto as Exhibit 99.1.
