Explanation of Responses:

1. Transaction pursuant to an existing Rule 10b5-1 trading plan.

2. This amendment to the Form 4 filed on January 15, 2020, is being filed solely to correct a typographical error in the exercise price, which is $32.38 rather than $35.38 as originally reported.

3. Includes 43,871 restricted stock units/performance stock units, the settlement of which has been deferred pursuant to the Issuer's Deferred Equity Plan.

4. This option to purchase common stock becomes exercisable in equal installments on each of the first five anniversaries of the grant date, March 1, 2015.
