The board of directors (the “Board”) of China INSOnline Corp., a Delaware corporation (the “Company”) accepted the resignation of Mr. Chunsheng Zhou on June 9, 2010 as a director and a member of the Company’s Audit Committee, Compensation Committee and the Nominating Committee effective as of March 18, 2010.
The Board also accepted the resignation of Mr. Yun Hon Man as the Chief Operating Officer of the Company effective as of May 1, 2010.
There are no related party transactions between any of these directors and the Company reportable under Item 404(a) of Regulation S-K.
