On January 11, 2008, ITEX Corporation issued a press release announcing that its Board of Directors had unanimously recommended that ITEX shareholders reject Western Sizzlin Corporation’s (OTCBB: WSZL) unsolicited offer to acquire all outstanding shares of ITEX for consideration consisting of .06623 shares of Western Sizzlin common stock. The press release is attached as Exhibit 99.1 to this report and incorporated herein by reference.
