Item 8.01 Other Events
On May 3, 2006, Safeco’s board of directors approved the purchase of up to $200 million of its outstanding common stock. Safeco executed a Rule 10b5-1 trading plan on May 8, 2006 to facilitate the purchase. A Rule 10b5-1 trading plan allows Safeco to repurchase its shares during periods when the company would normally not be active in the market because of its own internal trading windows.
