Item 5.02 Resignation of Director
Granite Construction Incorporated has received a letter from Director George B. Searle stating his intentions to retire from Granite’s Board of Directors, effective after the shareholders meeting on May 22, 2006. Mr. Searle also tendered his resignation, effective immediately, as a member of the Executive Committee and as Chair of the Compensation Committee. He is expected to resign from the Strategic Planning Committee within the next few weeks.
