1. Restricted stock units granted pursuant to the Granite Construction Incorporated 2021 Equity Incentive Plan. The vesting commencement date is March 14, 2021 (the "Vesting Commencement Date"). The restricted stock units vest in three equal annual installments on the first, second and third anniversaries of the Vesting Commencement Date.

2. Total adjusted to include dividend equivalents (DEUs: 68 - 4/15/21) credited to the Reporting Person under the dividend reinvestment feature of the Granite Construction Incorporated's equity plans since the Reporting Person's last report.
