Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 14, 2021, Jigisha Desai and Granite Construction Incorporated (the “Company”) entered into a Separation and Transition Agreement (the “Agreement”). Pursuant to this Agreement, Ms. Desai will (1) remain an employee of the Company and continue to serve as Executive Vice President and Chief Strategy Officer through December 6, 2021 (the “Separation Date”) and until the Separation Date, continue to receive her annual base salary at the rate in effect immediately prior to entering into the Agreement, (2) resign as Executive Vice President and Chief Strategy Officer and cease to be an employee of the Company as of the Separation Date, (3) receive a one-time lump sum payment of $729,600, (4) remain eligible to receive her 2021 Annual Incentive Plan award based on actual results, (5) remain eligible to receive a payout under her long term incentive plan awards based on actual results through the end of the applicable performance period and pro-rated for her service through the Separation Date, payable in cash, (6) receive a payment equal to 18 months of COBRA premiums and (7) receive 90 days of executive transition support services. The Agreement also contains customary non-disparagement, cooperation and general release and waiver provisions.
