On June 30, 2008, Martin J. Sullivan, Director and non-executive Chairman of Transatlantic Holdings, Inc. resigned from the Board of Directors of the Company, effective July 1, 2008.
Effective July 1, 2008, the Board elected Robert F. Orlich, President and Chief Executive Officer of the Company, to serve as its interim Chairman.
A press release announcing these actions was issued and a copy of the press release is attached as Exhibit 99.1 to this Form 8-K. The text of the press release is being furnished and is not filed for purposes of Section 18 of the Securities Exchange Act of 1934.
