Our Annual Report on Form 10-KSB for the period ended December 31, 2007 cannot be filed within the prescribed time period because management has not been able to finalize, without unreasonable effort or expense, information and documents required for the completion of the audit of the Company’s financial statements for the year ending December 31, 2007, by March 31, 2008. We expect to file the Form 10-KSB as soon as reasonably practicable following the prescribed due date and within the time period permitted by Rule 12b-25.
