Explanation of Responses:

1. Each Restricted Stock Unit represents a right to receive one share of Cascade Microtech, Inc. common stock upon vesting. Provided that the individual continues to hold the status of Director, these Restricted Stock Units vest in four equal quarterly installments of 1,250 shares each with all shares becoming fully vested on May 14, 2016.

2. These units do not carry a conversion price.
