Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensation Arrangements of Certain Officers.
Effective as of the date of the annual meeting of stockholders of Trimble Inc. (the “Company”), to be held on June 1, 2023, Steven W. Berglund will be retiring from the Company’s Board of Directors. He will also be retiring, at the same time, from his executive role with the Company. Mr. Berglund has served as executive chairperson of the Board since January 2020 and as a director since 1999, having previously served as the Company’s president and chief executive officer from March 1999 to January 2020. Mr. Berglund’s retirement completes the leadership transition to Mr. Painter which has been ongoing for several years.
The Company anticipates that Börje Ekholm, who has served as a director of the Company since January 2020, and previously served as a director of the Company from 2015 to 2017, will be named by the Board as its chairperson, to succeed Mr. Berglund in that role.
