Item 5.02 | Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensation Arrangements of Certain Officers. |
On November 12, 2019, the board of directors (the “Board of Directors”) of Trimble Inc. (the “Company”) appointed Börje Ekholm to serve as a director of the Company, effective January 4, 2020.
Mr. Ekholm has not yet been appointed to serve on any committee of the Board of Directors. Mr. Ekholm will be entitled to compensation for his service as a non-employee director pursuant to the Company’s compensation practices for non-employee directors, which are described in the Company’s Board of Directors Compensation Policy effective as of May 7, 2015, filed as Exhibit 10.1 to the Company’s Current Report on Form 8-K filed on May 11, 2015. In addition, the Company intends to enter into its standard form indemnification agreement with Mr. Ekholm. There are no related party transactions between the Company and Mr. Ekholm that are subject to disclosure under Item 404(a) of Regulation S-K. There are no arrangements or understandings between Mr. Ekholm and any other person pursuant to which he was selected as a director.

The Board of Directors has approved an amendment and restatement of the Bylaws of the Company (the “Bylaws”) to amend Article III Section 1 of the Bylaws to increase the number of directors from nine to ten, effective January 4, 2020.
The foregoing description is qualified in its entirety by the text of the amended and restated Bylaws, a copy of which is attached hereto as Exhibit 3.1 and is incorporated herein by reference.
