(b) On January 11, 2012, Blake Nordstrom informed Whole Foods Market, Inc. (the “Company”) that for personal reasons related to time constraints he would not stand for re-election as a member of the Company’s Board of Directors at the Company’s next Annual Meeting of Shareholders, scheduled for March 9, 2012. Mr. Nordstrom will resign from the Company’s Board of Directors effective March 9, 2012.
