Sauer-Danfoss Inc. Announces Availability of Amended
Tender Offer Materials
Ames, Iowa, USA — March 31, 2010 — Sauer-Danfoss Inc. (NYSE: SHS) announced today that it has filed Amendment No. 1 to its Rule 13e-3 Transaction Statement and Amendment No. 1 to its Solicitation/Recommendation Statement on Schedule 14D-9, both originally filed with the Securities and Exchange Commission (the “SEC”) on March 19, 2010 in response to the cash tender offer of $13.25 per common share (the “Offer”) commenced on March 10, 2010 by Danfoss Acquisition, Inc. (the “Purchaser”), a wholly owned subsidiary of Danfoss A/S (“Danfoss”). The amendment was made in response to comments received from the SEC during its review process. The terms and conditions of the Offer remain the same, as set forth in the tender offer materials disseminated by Danfoss and the Purchaser.
