Sauer-Danfoss Inc. Announces Availability of Amended
Tender Offer Materials
Ames, Iowa, USA — April 6, 2010 — Sauer-Danfoss Inc. (NYSE: SHS) announced today that it has filed Amendment No. 3 to its Solicitation/Recommendation Statement on Schedule 14D-9 and Amendment No. 3 to its Rule 13E-3 Transaction Statement, both originally filed with the Securities and Exchange Commission (the “SEC”) on March 19, 2010, in response to the cash tender offer of $13.25 per common share (the “Offer”) commenced on March 10, 2010 by Danfoss Acquisition, Inc. (the “Purchaser”), a wholly owned subsidiary of Danfoss A/S (“Danfoss”).
