Sauer-Danfoss Inc. Announces Availability of Amended
Tender Offer Materials Regarding Intent Not to Tender by Executive Officers and Certain Directors
Ames, Iowa, USA — April 29, 2010 — Sauer-Danfoss Inc. (NYSE: SHS) announced today that it has filed Amendment No. 10 to its Solicitation/Recommendation Statement on Schedule 14D-9, originally filed with the Securities and Exchange Commission (the “SEC”) on March 19, 2010, in response to the cash tender offer of $14.00 per common share (the “Offer”) initially commenced on March 10, 2010 by Danfoss Acquisition, Inc. (the “Purchaser”), a wholly owned subsidiary of Danfoss A/S (“Danfoss”). The amendment updates the disclosure regarding the intent to tender by executive officers and certain directors of Sauer-Danfoss and provides that such executive officers and directors currently do not intend to tender the shares that they own.
