Explanation of Responses:

1. Includes the following: (1) 24,214 unvested restricted share units ("RSUs"), which will vest on June 14, 2020; (2) 42,075 unvested RSUs, which will vest in two equal annual installments beginning on June 29, 2020; (3) 61,730 unvested RSUs, which will vest in three equal annual installments beginning on June 19, 2020; (4) 146,693 unvested RSUs, which will vest in four equal annual installments beginning on June 11, 2020; (5) 59,453 unvested RSUs, which will vest upon achievement of performance conditions; and (6) 242,718 unvested RSUs, which will vest on March 5, 2021.

2. Each unvested RSU represents a contingent right to receive one unrestricted, fully transferable share for each vested RSU which has not previously forfeited.
