(b) On August 6, 2013, Mr. Enrique T. Salem notified the Board of Directors of the Registrant that he will not stand for re-election as a director of the Registrant at the end of his current term, and intends to resign from the Registrant’s Board of Directors effective as of the date of the Registrant’s 2013 Annual Meeting of Shareholders. Mr. Salem’s decision not to stand for re-election was based on his stated desire to devote more time to his investments in various start-up ventures and other business commitments, and was not due to any disagreements with the Registrant on any matter relating to the Registrant’s operations, policies, or practices.
