Item 1.01. Entry into a Material Definitive Agreement.
On November 21, 2008, SunPower GmbH (“SunPower”), a subsidiary of SunPower Corporation, entered into a Photovoltaic Equipment Master Supply Agreement (the “Supply Agreement”) with City Solar Kraftwerke AG (“City Solar”). The Supply Agreement sets forth the material terms and conditions pursuant to which SunPower will sell to City Solar at least 100 megawatts of solar panels and systems between 2009 and 2011. The Supply Agreement is a material revenue opportunity for SunPower Corporation on a consolidated basis.
