On January 14, 2009, Rentech, Inc. (the “Company”) filed a prospectus supplement to the prospectus contained in its registration statement on Form S-3 (File No. 333-132594) initially filed with the Securities and Exchange Commission on March 30, 2006. In connection with the filing of the prospectus supplement, the Company is filing as Exhibits 5.1 and 5.2 hereto the opinion of its counsel, Latham & Watkins LLP, and the opinion of its Colorado counsel, Holland & Hart LLP, regarding certain matters relating to the securities offered under the prospectus supplement.
