Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
(b) Effective February 11, 2006, Kevin M. Smith resigned as Chief Financial Officer and Executive Vice President of Rentech, Inc. (the “Company”). Mr. Smith had no disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
A press release dated February 13, 2006, announcing Mr. Smith’s resignation is attached as Exhibit 99.1 to this report.
