Item 2.02Results of Operation and Financial Condition.
On October 28, 2020, Dorman Products, Inc. (the “Company”) issued a press release announcing its operating results for the third fiscal quarter ended September 26, 2020. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.

Item 8.01Other Events.
On October 27, 2020, the Company’s Board of Directors approved a resolution to increase and extend its share repurchase program by an additional $100 million, raising the aggregate authorization under the program to $500 million. The Company has spent $272.3 million to date under the existing authorization.
The authorization extends the Company’s share repurchase program through December 31, 2022. Share repurchases under the program may be made from time to time, as the Company deems appropriate, based on factors such as market conditions, share price, share availability and other factors. There can be no assurance as to the number of shares the Company will purchase, if any, and the program may be modified, renewed, suspended or terminated by the Company at any time without prior notice.
