Item 8.01 Other Events

On September 16, 2005, MBNA Europe Bank Limited, a wholly owned foreign bank subsidiary of MBNA America Bank, N.A., located in the United Kingdom, completed the securitization of €739.0 million three-year credit card asset backed notes issued through Chester Asset Receivables Dealings Issuer Limited (CARDSâ). MBNA America Bank, N.A. is a wholly owned subsidiary of MBNA Corporation.

The transaction (Series 2005-A1) had one class of publicly traded asset backed notes, €739.0 million Class A floating-rate asset backed notes due in 2008. The Series 2005-A1 notes were priced at par and will accrue interest at 6 basis points over the three-month Euro Interbank Offered Rate. Interest on the Series 2005-A1 notes will be paid quarterly.

The securities are governed by English law and are expected to be listed on the London Stock Exchange.
