Explanation of Responses:

1. Mr. Nicolaides was granted 19,000 restricted stock units on May 16, 2014. Each restricted stock unit represents a contingent right to receive one share of Numerex Corp Common Stock (NMRX). The restricted stock units vest in four equal installments beginning on the first anniversary of the grant date. The closing share price of the company's stock on the date of grant was $10.95.
