On December 8, 2004, Worldwide Restaurant Concepts, Inc. (the “Company”) issued a press release announcing that it had retained Houlihan Lokey Howard & Zukin Capital as its financial advisor to assist the Company in exploring strategic alternatives to enhance stockholder value. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
