1. These shares represent shares of restricted stock that were issued pursuant to the 2011 Omnibus Incentive Plan of EVINE Live Inc. (the "Company") and are subject to vesting. Of these 16,639 shares of restricted stock, (x) 6,639 shares will vest in three equal annual installments on March 20, 2016, March 20, 2017 and March 20, 2018, respectively, and (y) 10,000 shares will vest in three equal annual installments on October 1, 2016, October 1, 2017 and October 1, 2018, respectively.
