Item 8.01. Other Events
Settlement of Certain Litigation
On December 18, 2009, the U.S. District Court for the Northern District of California (the “Court”) preliminarily approved an agreement to settle previously disclosed litigation related to Atmel’s historical practices regarding the timing of stock option grants (the “Settlement Agreement”). The Court ordered Atmel to provide notice regarding the Settlement Agreement on January 29, 2010. The terms of the Settlement Agreement are set forth in the attached Exhibit 99.1, and are subject to the approval of the Court.
In connection with the settlement proposed in the Settlement Agreement, Atmel is attaching the exhibits listed in Item 9.01 below to this Form 8-K.
