Item 5.07         Submission of Matters to a Vote of Security Holders.

(a)An Annual Meeting of Stockholders of ESB Financial Corporation (the “Company”) was held on April 17, 2013.

(b)There were 14,664,889 shares of common stock of the Company eligible to be voted at the Annual Meeting and there were 12,398,393 shares represented in person or by proxy at the Annual Meeting, which constituted a quorum to conduct business at the meeting.

The items voted upon at the Annual Meeting and the results of the vote on each proposal were as follows:

1.         Election of directors for a three-year term:

2.         To ratify the appointment of S.R Snodgrass, A.C. as the Company’s independent registered public accounting firm for the year ending December 31, 2013.

Each of the nominees were elected as directors and the proposal to ratify S.R Snodgrass, A.C. as the Company’s independent registered public accounting firm for 2013 was adopted by the stockholders of the Company at the Annual Meeting.
