Explanation of Responses:

1. The stock option vests and becomes exercisable as follows: 10,000 shares on February 7, 2023, and the remaining 20,000 shares in 24 equal monthly installments starting on March 1, 2023 and monthly thereafter, subject to the reporting person's continued employment with the issuer on each respective vesting date. The option was granted by the issuer as an inducement material to the reporting person's entering into employment with the issuer in accordance with Nasdaq Listing Rule 5635(c)(4).
