Item 8.01 Other Events.
On March 25, 2009, Cephalon, Inc. issued a press release in Australia announcing that the A$1.40 per share offer by its wholly-owned subsidiary, Cephalon International Holdings, Inc. (“Cephalon International”) for Arana Therapeutics Limited (“Arana”), is now open. Unless extended, Cephalon International’s offer is scheduled to close on May 1, 2009. The Company hereby incorporates by reference the press release dated March 25, 2009, attached hereto as Exhibit 99.1, and made a part of this Item 8.01.
