EXPLANATORY NOTE

This Post-Effective Amendment No. 6 to the registrant’s Registration Statement under Schedule B (File No. 333-9564), declared effective by the Securities and Exchange Commission on August 12, 2005, is being filed solely for the purpose of filing Exhibits M–1 and M-2 to such Registration Statement. No changes or additions are being made hereby to the Prospectus which forms part of such Registration Statement.
