Item 1.01 Entry into a Material Definitive Agreement
MedImmune, Inc. (the “Company”) is currently party to a Part-Time Employment Agreement (the “Agreement”) with Melvin D. Booth, a director and former President and Chief Operating Officer of the Company, previously filed as Exhibit 10.53 to the Company’s Annual Report on Form 10-K for the year ended December 31, 2003. The Agreement was, by its terms, scheduled to expire on December 31, 2004. On December 21, 2004, the Company entered into an amendment to the Agreement extending its term until June 30, 2005.
