Item 5.05 Amendments to the Registrant’s Code of Ethics.
On December 5, 2013, Isis Pharmaceuticals, Inc. amended its Code of Ethics and Business Conduct to add additional procedures for the pre-clearance of trades in Isis’ stock by employees who do not use Rule 10b5-1 plans.
A copy of the amended Code of Ethics and Business Conduct is included with this report as Exhibit 14.1 and incorporated herein by reference.
