ANN INC. (the “Company”) issued a Press Release, dated February 2, 2012. A copy of the Press Release is appended to this report as Exhibit 99.1 and is incorporated herein by reference.

On February 2, 2012, the Company announced that Christine M. Beauchamp, formerly Brand President, AnnTaylor division, left the Company effective January 27, 2012.
The Company also announced on February 2, 2012, the appointment of Brian E. Lynch to the position of Brand President, AnnTaylor division, of the Company, effective January 30, 2012. Mr. Lynch was President of AnnTaylor Factory and LOFT Outlet and led the e-commerce channels for the AnnTaylor and LOFT brands.
